Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you (“you,” “your,” or the “user”) and VMVTech (“VMVTech,” “we,” “us,” or “our”), the operator of the AlliShare service available at allishare.com (“AlliShare,” the “Service”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. The Service

AlliShare provides social media management tools together with an automation platform, including an application programming interface (API), software development kits (SDKs), and a Model Context Protocol (MCP) interface designed to let software, scripts, and AI agents publish, schedule, and manage content across third-party social media platforms on your behalf. The Service may evolve over time, and we may add, change, or remove features at any time without liability.

The Service acts as an intermediary that transmits your content and instructions to the social media platforms you connect. We do not control those platforms, their availability, their policies, or how they treat content you submit through us.

2. Accounts and API Keys

You are responsible for maintaining the confidentiality of your account credentials, API keys, access tokens, and any other authentication secrets associated with your use of the Service. You are solely responsible for all activity that occurs under your account or through your API keys, whether or not authorized by you. You must promptly notify us at support@allishare.com of any unauthorized use or suspected compromise. We are not liable for any loss arising from your failure to safeguard your credentials, and we may rotate, revoke, or rate-limit keys to protect the Service.

3. Your Content and Your Responsibility

“Your Content” means any text, images, video, audio, links, metadata, prompts, instructions, and other material you submit to, generate through, schedule with, or publish via the Service, including content created or sent by software, scripts, or AI agents you operate.

Your Content is your sole responsibility. AlliShare is not responsible or liable for Your Content, nor for any post, message, comment, or other action made through the Service, including those made via the API, automation, scheduling, SDKs, the MCP interface, or AI agents. You alone are responsible for the legality, accuracy, appropriateness, and consequences of everything published through your account, regardless of whether a human or an automated process initiated it. We do not pre-screen, endorse, or vouch for Your Content, and we disclaim all responsibility for it to the fullest extent permitted by law.

4. License You Grant to Us

To operate the Service, you grant VMVTech a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, adapt (for formatting and technical purposes), and display Your Content solely as necessary to provide, maintain, and improve the Service and to deliver Your Content to the third-party platforms you direct us to. This license exists only to enable the Service and ends when Your Content is deleted from our systems, subject to backup and legal-retention requirements. You retain all ownership rights in Your Content.

5. Compliance with Platform Terms and Laws

You must comply with the terms of service, developer policies, automation and bot rules, rate limits, and community guidelines of every social media platform you connect to or publish to through the Service. You are equally responsible for complying with all applicable laws and regulations, including but not limited to the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and all advertising, consumer-protection, intellectual-property, and data-protection laws applicable to your activity. A platform’s decision to restrict, suspend, or remove your accounts or content is between you and that platform; we are not responsible for it.

6. Acceptable Use

Your use of the Service is governed by our Acceptable Use Policy (the “AUP”), which is incorporated into these Terms by reference. By using the Service you agree to the AUP. We may update the AUP from time to time, and your continued use constitutes acceptance of the updated policy.

7. Suspension, Banning, and Termination

We may suspend, ban, restrict, or terminate any account or access to the Service at our sole discretion, immediately and without prior notice or refund, including for any actual or suspected violation of these Terms or the AUP, for conduct that creates legal or reputational risk to us or to the platforms we integrate with, for non-payment, or to comply with law or a platform’s requirements. We are not liable to you or to any third party for any suspension, ban, or termination. You may terminate your account at any time by closing it through the Service or contacting support; termination does not entitle you to any refund except as expressly stated in our Refund Policy.

8. AI Output Disclaimer

The Service may include or interoperate with artificial-intelligence features that generate, suggest, or transform content. AI output may be inaccurate, incomplete, biased, outdated, offensive, or otherwise unsuitable, and may produce content that infringes rights or violates platform rules or laws. AI output is provided for your assistance only. You must independently review, verify, and approve all AI-generated or AI-assisted content before it is published. You remain solely responsible for anything published through your account, and we disclaim all liability arising from AI output to the fullest extent permitted by law.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any content will be delivered to, accepted by, or retained by any third-party platform. We make no uptime guarantee. You use the Service at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL VMVTECH OR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO US FOR THE SERVICE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless VMVTech and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Your Content; (b) your use of the Service, including via the API, automation, SDKs, the MCP interface, or AI agents; (c) your violation of these Terms, the AUP, any platform’s terms, or any law; or (d) your infringement of any third party’s rights. We reserve the right to assume the exclusive defense of any matter subject to indemnification, at your expense.

12. No Affiliation with Platforms

AlliShare and VMVTech are independent and are not affiliated with, sponsored by, or endorsed by any social media platform we integrate with. All platform names, logos, and trademarks are the property of their respective owners. Your use of any platform through the Service is subject to that platform’s own terms and is at your own risk.

13. Governing Law, Arbitration, and Class-Action Waiver

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration on an individual basis, administered under the rules of a recognized arbitration provider, seated in Delaware, rather than in court, except that either party may seek injunctive relief in court for intellectual-property or unauthorized-access matters.

You and VMVTech waive any right to a jury trial and agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. If the class-action waiver is found unenforceable, the entire arbitration provision will be void.

14. Changes to These Terms

We may modify these Terms at any time. When we make material changes, we will update the “Last updated” date above and may provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.
